Terms of Service

1. Acceptance of Terms

By accessing or using the CaféMedia MTL platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the platform. These Terms constitute a binding agreement between you ("you" or "Advertiser") and CaféMedia MTL ("we", "us", or "the Company"), a platform operated under the laws of Quebec, Canada.

2. Services Description

CaféMedia MTL operates a café tabletop advertising marketplace connecting brands ("Advertisers") with independent café owners ("Hosts"). We facilitate brand verification, placement booking, payment splitting, and photo-proof verification between Advertisers and Hosts. The Advertiser provides the physical tabletop assets (coasters, placards) and arranges their delivery to the café. The Host places and maintains those assets on its tables and submits the photo proof described in these Terms. The Company does not itself manufacture, deliver, or install physical advertising materials.

3. Advertiser Obligations

By purchasing placements through CaféMedia MTL, Advertisers agree to:

• Ensure all advertising content is accurate, lawful, and free from deceptive practices.
• Provide print-ready artwork and deliver the physical tabletop assets to each booked café.
• Comply with all applicable advertising standards in Québec and Canada.
• Respect each Host's right to approve or decline a campaign before it goes live.

Failure to comply may result in removal from the platform without refund.

4. Host (Café) Obligations

By accepting a campaign through CaféMedia MTL, Hosts agree to:

• Place the Advertiser's tabletop assets on all active customer tables, and keep them displayed at all times throughout the full 30-day campaign period.
• Keep the assets clean, visible, and undamaged, and not cover, remove, or relocate them for the duration of the campaign.
• Submit photo proof of the placement each week through the platform, so the Advertiser can confirm the placement is live. Photo proof is required for payouts to be released.
• Approve or decline each campaign before it begins; once accepted, honor the placement for the full period.
• Maintain accurate café information and complete Stripe Connect onboarding in order to receive payouts.
• Notify the Company promptly of any temporary closure, renovation, or change of ownership that affects an active campaign.

A Host who removes the assets early, fails to submit the required photo proof, or otherwise does not maintain the placement may have the payout withheld or reduced, and may be removed from the network.

5. Payment Terms

Advertisers pay a monthly subscription of $199 (or $1,990 per year) for access to the café network, plus a placement fee of $500 to $1,500 per café for each 30-day campaign, depending on the café. Payments are processed via Stripe. Of each placement fee, 80% goes to the Host café and 20% is retained by CaféMedia MTL as a platform fee. The Host's share is paid in two parts, at campaign activation and at completion, and is contingent on the required photo proof being submitted. All fees are non-refundable after a campaign begins, unless the Company determines a technical failure prevented delivery.

6. Cancellation

Advertisers may cancel their subscription at any time. Cancellation takes effect at the end of the current billing period. There is no pro-rata refund for partial months. Placement campaigns already scheduled are subject to the terms agreed upon at booking.

7. Limitation of Liability

To the maximum extent permitted by law, CaféMedia MTL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the platform or services. Our total liability in any dispute shall not exceed the total fees paid by you in the three (3) months preceding the claim.

8. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein. The parties irrevocably agree that any dispute shall be brought exclusively before the courts of the judicial district of Montréal, Québec, Canada.
